Terms and Conditions of Sale

1. Scope

These Terms and Conditions of Sale govern sales made on the Focal Shift^® website, published by Focal Shift, the sole proprietorship of Steven De Jong.

Any order implies the buyer’s full and unconditional acceptance of these Terms and Conditions of Sale.

3. Services Offered

Focal Shift offers in particular:

the purchase of credits for using the AI Advisor, in text mode and, depending on the available features, in voice mode (including, if the user enables it, the optional conversational memory described in the Terms of Use and Privacy Policy),
the purchase of gift cards,
an online appointment booking service (free of charge),
and, where applicable, individual support sessions, asynchronous support and on-site immersive days.

The essential characteristics of the services are described on the website at the time of purchase.

4. Nature of the Services

The services offered:

do not constitute a medical act or therapy,
do not replace any professional healthcare follow-up,
do not constitute legal, financial or medical advice.

They are intended exclusively to offer a process of clarification and putting things into perspective.

No obligation of result is attached to the services offered.

5. Order

The order is considered firm and final after:

payment validation,
confirmation of the order by electronic means.

Focal Shift reserves the right to refuse or cancel an order in the event of fraud, non-compliance with these Terms and Conditions of Sale, or abusive use of the service.

6. Prices

Prices are indicated in euros (€). VAT not applicable, Art. L. 223-3 of the French Code of Taxes on Goods and Services (CIBS).

Focal Shift reserves the right to modify its prices at any time.

The price charged is the one in force at the time of the order.

7. Payment

Payments are made through a secure payment provider (Stripe).

No banking data is stored by Focal Shift.

8. Delivery of Services

a) AI Advisor credits

Credits are automatically credited to the user’s account after payment validation. They allow access, depending on the available features, to the use of the AI Advisor in text mode and, where applicable, in voice mode.

b) Gift cards

Gift cards are delivered in digital form (unique code) after payment validation. Each gift card:

is activated by entering the code in the AI Advisor's interface,
can only be redeemed once (the code is invalidated after activation),
is neither exchangeable nor refundable once activated, unless mandatory legal provisions provide otherwise; as long as it has not been activated, its purchase remains subject to the 14-day right of withdrawal set out in Article 9,
is valid for a period of 365 days from the date of purchase; after this period, the code is deactivated and can no longer be used.

The conditions of use and the credit value are specified at the time of purchase.

c) Online appointment booking

The online appointment booking service is provided free of charge. No payment is required to submit an appointment request.

Appointment requests are subject to email confirmation (double opt-in). The selected time slot is temporarily reserved for a limited period. After this period, an unconfirmed request automatically expires and the time slot becomes available again.

A limited number of appointment requests may be submitted per email address per day.

Cancellation conditions:

The visitor may cancel their appointment at any time before the scheduled date, using the management link provided by email.
Cancellation of a past appointment is not possible.
Focal Shift reserves the right to cancel an appointment with or without reason. Where applicable, the visitor is notified by email.

Video call appointments are held via Google Meet. A video conferencing link is provided in the confirmation email.

d) Individual sessions

The terms and conditions for individual sessions (duration, format, conditions) are specified at the time of the contact request or order.

9. Right of Withdrawal

a) Digital services

In accordance with Article L.221-18 of the French Consumer Code, the consumer is in principle entitled to a 14-day right of withdrawal for contracts concluded at a distance.

However, in accordance with Article L.221-28 of the French Consumer Code, this right no longer applies when the performance of digital content or a digital service has begun before the end of the withdrawal period, with the buyer’s express consent and their acknowledgement of the loss of their right of withdrawal.

At the time of payment, the buyer expressly requests the immediate performance of the service and acknowledges losing their right of withdrawal as soon as the credits are available on their account. Consequently, the purchase of credits for the AI Advisor becomes firm and final from the moment the credits are made available on the user’s account, subject to any mandatory legal provisions to the contrary.

The purchase of a gift card remains subject to the 14-day right of withdrawal as long as the code has not been activated. Activating the code constitutes a request for immediate performance and a waiver of the right of withdrawal for the corresponding credits.

To exercise the right of withdrawal, the buyer sends an unambiguous statement to contact@focalshift.eu, for example using the form appended to these Terms and Conditions of Sale. The refund is made within 14 days of receipt of the withdrawal decision, using the payment method used for the order.

b) Appointment booking

As the online appointment booking service is provided free of charge, the right of withdrawal does not apply. The visitor may freely cancel their appointment using the management link provided by email.

c) Individual sessions

The conditions for cancelling or rescheduling an individual session are specified at the time of the order. The 14-day right of withdrawal applies in accordance with applicable legislation, unless the performance of the service has begun before the expiry of this period at the buyer’s express request.

10. Use of Credits

Credits purchased on the website are prepaid units allowing access to certain features or services offered by Focal Shift, in particular the use of the AI Advisor in text mode and, depending on the available features, in voice mode.

Purchased credits are:

personal,
non-transferable,
not exchangeable for money,
non-refundable, unless mandatory legal provisions provide otherwise and except in the cases set out below.

Purchased credits have no expiry date: they remain available for as long as the user account is active. In this respect they differ from the gift card, which is a non-nominative code with a limited validity period (365 days), whereas credits are attached to the user’s account.

By way of exception, unused credits are refunded, upon request sent to contact@focalshift.eu, in the following cases:

prolonged unavailability of the service attributable to the publisher, making the credits unusable,
a billing error acknowledged by the publisher (amount, pack or number of credits not matching the order).

The refund is made using the payment method used for the order, within 14 days of the request being validated.

Credits must be used in accordance with the purpose of the service.

Any abusive, fraudulent use or use contrary to these Terms and Conditions of Sale may result in the suspension or closure of the user account, without compensation or refund, subject to any applicable mandatory legal provisions.

If the user requests the closure of their account, they are invited to use their remaining credits before the account is effectively closed. From the effective closure of the account, unused credits are definitively lost and do not give rise to any refund, compensation or monetary conversion, unless mandatory legal provisions provide otherwise.

Account closure results in the loss of access to the services and features associated with the user account.

11. Liability

The publisher is bound by an obligation of means in providing the services. Its liability may only be incurred for direct and proven damage resulting from a breach attributable to it.

The publisher may not be held liable for:

the consequences of inappropriate use of the services by the user,
the user’s personal interpretation of the content or exchanges,
decisions made by the user following the use of the service,
errors, inaccuracies, interruptions, latency or technical limitations affecting the AI Advisor, voice mode, transcription or audio output, where they result from force majeure, from the act of a third party (hosting provider, processor, network) or from the act of the user.

These limitations do not apply to personal injury, to gross negligence or wilful misconduct on the part of the publisher, or to cases in which the law prohibits any limitation of liability. Nothing in these Terms and Conditions of Sale deprives the consumer of the rights granted by law, in particular under the legal guarantee of conformity.

12. Legal Guarantee of Conformity

In accordance with Articles L.224-25-12 et seq. of the French Consumer Code, the consumer benefits from the legal guarantee of conformity for the digital content and digital services provided by Focal Shift (credits, AI Advisor, gift cards).

Accordingly, the publisher provides a service that conforms to the contract and to the legal conformity criteria, and provides the updates necessary to maintain that conformity for the duration of the supply of the service. In the event of a lack of conformity, the consumer is entitled to have the service brought into conformity within a reasonable time and free of charge, failing which to a price reduction or to the termination of the contract under the conditions provided for by law.

13. Personal Data

Personal data collected in connection with sales is processed in accordance with the website’s Privacy Policy.

14. Mediation and Disputes

In the event of a dispute, the buyer is invited to contact the publisher in order to seek an amicable solution.

In accordance with Articles L.611-1 et seq. of the French Consumer Code, a consumer buyer may also use a consumer mediator free of charge, after a prior written complaint has remained unresolved. The contact details of the consumer mediator to which Focal Shift is affiliated are available upon request at contact@focalshift.eu.

Failing an amicable agreement, the dispute will be governed by French law and submitted to the competent courts.

15. Changes to the Terms and Conditions of Sale

Focal Shift reserves the right to modify these Terms and Conditions of Sale at any time.

The applicable Terms and Conditions of Sale are those in force on the date of the order.
